GENERAL USE RESTRICTIONS

THE TOTAL CUMULATIVE LIABILITY OF THE PRESTIGE GLOBAL MEETING SOURCE AFFILIATES IN CONNECTION WITH THESE TERMS, THE SITE, AND ALL CONTENT AND SERVICES, WHETHER IN CONTRACT OR TORT OR OTHERWISE, WILL NOT EXCEED $100. YOU AGREE THAT THE PRESTIGE GLOBAL MEETING SOURCE AFFILIATES WOULD NOT ENTER INTO THESE TERMS OR PROVIDE THE SITE WITHOUT THESE LIMITATIONS ON THEIR LIABILITY.

You further acknowledge that the Prestige Global Meeting Source Affiliates maintain no control over the independent suppliers that may be providing accommodations and services as a part of the Site. Accordingly, you agree not to hold the Prestige Global Meeting Source Affiliates responsible for any loss or injury which may be caused or contributed to by such suppliers or by any other cause, condition or event whatsoever beyond the direct control of the Prestige Global Meeting Source Affiliates. You hereby release Prestige Global Meeting Source Affiliates, and their respective officers, directors, employees and agents from any and all liability for claims resulting from any acts or omissions of the independent suppliers, or from any other cause, condition or event beyond the direct control of the Prestige Global Meeting Source Affiliates.

Certain jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the exclusions set forth above may not apply to you.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Prestige Global Meeting Source Affiliates and our employees, agents and representatives from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, fees, demands, suits, or proceedings (“Claim”) made or brought against us, our affiliates, employees, agents and representatives, that arises or may arise from (a) your use of or access to the Site, or the acts of anyone on your behalf, (b) your breach of the Terms, (c) your violation of any law or rights of a third party, or (d) your acts that infringe or misappropriate the intellectual property rights of a third party. You agree to pay for any settlements, or damages awarded against Prestige Global Meeting Source Affiliates, and for reasonable attorney’s fees incurred by Prestige Global Meeting Source Affiliates, our affiliates, employees, agents and representatives in connection with any such Claim provided that we give you prompt written notice of the Claim and give you a reasonable opportunity to participate in the defense of the Claim.

FEEDBACK

If you contact us with information including, without limitation, feedback data (e.g., questions, comments, suggestions, or the like) regarding our Site (collectively, “Feedback”), the Feedback is deemed to be non-confidential, as well as proprietary to and exclusively owned by Prestige Global Meeting Source and we will have no obligation to you or any other party of any kind with respect to the Feedback. In addition, you agree and acknowledge that we are free to use and distribute the Feedback to others without limitation, and to authorize others to do the same. Further, we are free to use any ideas, concepts, know-how or techniques contained in the Feedback for any purpose whatsoever, including, without limitation, developing, manufacturing and marketing services and other items incorporating the Feedback. We will not owe any compensation for the use or disclosure of the Feedback or be liable to any party for the use of the Feedback by any party.

Prestige Global Meeting Source controls and operates this Site from its headquarters in the United States of America and makes no representation that the Materials are appropriate or will be available for use in other locations. If you use this Site from outside the United States of America, you are entirely responsible for compliance with applicable local laws, including but not limited to the export and import regulations of other countries in relation to the Materials and the Third Party Content.

Unless otherwise explicitly stated, all marketing or promotional materials found on this Site are solely directed to individuals, companies or other entities located in the United States.

GENERAL TERMS

You agree that Prestige Global Meeting Source can revise these Terms at any time without notice by updating this posting. You agree that your continued use of the Site after such modifications have been made constitutes your acceptance of such revised Terms.

Any action related to these Terms will be governed by Minnesota law and controlling U.S. federal law, without regard to the choice or conflicts of law provisions of any jurisdiction. You agree to submit to the jurisdiction of the courts located in the State of Minnesota, for the resolution of all disputes arising from or related to these Terms and/or your use of the Site.

If any provision of these Terms is held by a court of competent jurisdiction to be contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties, with all other provisions remaining in full force and effect.

The failure of Prestige Global Meeting Source to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Prestige Global Meeting Source in writing.

The Terms comprises the entire agreement between you and Prestige Global Meeting Source and supersede all prior or contemporaneous negotiations, discussions or agreements, if any, between the parties regarding the subject matter contained herein.
